1. Acceptance of Terms

By accessing or using Togglewise ("Service"), you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service. We recommend that you print or save a copy of these Terms for your records.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are under 18, you may not use the Service under any circumstances.

3. Description of Service

Togglewise provides a feature flag management platform that enables software teams to control feature releases, run A/B tests, and manage configurations across environments. The Service is provided on an "as available" basis, and features may be modified, updated, or discontinued at any time.

4. Account Registration and Security

You must provide accurate, current, and complete information when creating an account. You are solely responsible for:

  • Maintaining the confidentiality and security of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that contain inaccurate information or are used in violation of these Terms.

5. Acceptable Use Policy

You agree not to:

  • Use the Service for any unlawful, fraudulent, or malicious purpose
  • Attempt to gain unauthorized access to any systems, networks, or data
  • Interfere with, disrupt, or create an undue burden on the Service
  • Transmit viruses, malware, or other malicious code
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
  • Circumvent any access controls or usage limits
  • Scrape, crawl, or use automated means to access the Service without permission
  • Resell, sublicense, or redistribute the Service without written authorization
  • Use the Service in any way that violates applicable laws or regulations
  • Infringe upon the intellectual property rights of others

6. Subscription, Payment, and Billing

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you agree to the following:

  • You authorize us to charge your designated payment method for all fees
  • All fees are exclusive of taxes, which you are responsible for paying
  • Subscriptions automatically renew unless cancelled before the renewal date
  • All fees are non-refundable except as expressly stated or required by law

We reserve the right to modify pricing with 30 days' prior notice. Continued use after a price change constitutes acceptance of the new pricing.

7. Free Trials and Beta Services

We may offer free trials or beta features at our discretion. Free trials and beta services are provided "AS IS" without any warranties. We may discontinue or modify free trials and beta features at any time without notice. Beta features may contain bugs or errors and are not intended for production use.

8. Intellectual Property Rights

The Service, including all content, features, functionality, software, designs, and trademarks, is owned by Togglewise and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes.

9. Your Data and Content

You retain all rights to your data and content uploaded to the Service ("Your Content"). By using the Service, you grant us a limited, worldwide, royalty-free license to use, process, and store Your Content solely to provide and improve the Service.

You represent and warrant that you have all necessary rights to Your Content and that Your Content does not violate any third-party rights or applicable laws.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any downtime, data loss, or damages resulting from service interruptions.

11. Third-Party Services and Integrations

The Service may integrate with or contain links to third-party services. We do not control and are not responsible for third-party services, their content, privacy policies, or practices. Your use of third-party services is at your own risk and subject to their respective terms.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT
  • WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE

YOU USE THE SERVICE AT YOUR OWN RISK. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • TOGGLEWISE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE LESSER OF (A) THE AMOUNTS ACTUALLY PAID BY YOU TO US IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100 USD)
  • THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify, defend, and hold harmless Togglewise and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; (d) Your Content; or (e) your violation of any applicable laws or regulations.

15. Dispute Resolution and Arbitration

Informal Resolution: Before initiating any formal dispute proceeding, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

Binding Arbitration: If we cannot resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. Any arbitration proceedings shall be conducted exclusively in Gurgaon, Haryana, India.

Class Action Waiver: YOU AND TOGGLEWISE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the courts located in Gurgaon, Haryana, India. Any complaints, claims, or legal proceedings arising out of or related to these Terms or the Service must be initiated exclusively in Gurgaon, India.

17. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time through your account settings or by contacting us.

Upon termination:

  • Your right to access and use the Service will immediately cease
  • You may request export of Your Content within 30 days of termination
  • We may delete Your Content after 30 days following termination
  • All provisions that by their nature should survive termination shall survive, including intellectual property, warranty disclaimers, indemnification, and limitations of liability

18. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, power failures, internet or telecommunications failures, or cyberattacks.

19. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may provide additional notice via email. Your continued use of the Service after any changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

20. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Togglewise regarding the Service and supersede all prior agreements and understandings.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
